Scope of Legal Services
Monthly Retainer Agreement
Up to 10 non-accumulative monthly hours of support and advice (written or oral) on any of these subjects:
1. Corporate Law
– Full organization and preparation of the mandatory annual shareholder’s meeting (one per year).
– Providing support on drafting records for shareholder and board sessions.
– Support in updating statutory records (shareholder ledger, board minutes, share register).
– Support for renewing director appointments (up to two) -excluding executive management roles such as CEO, CEO, etc.-
– Issuance of share certificates and related notifications, when needed.
2. Commercial Law
– Advise and review of contracts.
– Review of existing contracts for legal conformity and risk identification.
– Strategic support for future business negotiations or dealings.
3. Immigration Law
– Guidance and advice regarding residency permits, work authorizations, or citizenship processes for expatriate staff for the benefit of the company.
– Ongoing monitoring and status updates for immigration applications.
4. Labor & Occupational Health Law
– Consultations and advice related to employment contracts and obligations in general.
– Preparation and review of employment agreements, internal communications, and general policies.
5. Regulatory Monitoring
– Regular (monthly or quarterly) summaries of relevant new regulatory changes impacting the company and its operations.
Exclusions (common across areas): Court litigation, major transactions (e.g., M&A), appeals, complex disputes, or services exceeding agreed monthly limits—billed separately at standard hourly rates.
Assumptions/Dependencies: Services for one entity; client supplies necessary documentation promptly; government/notarial fees paid by client.
Total monthly cost: US670.00 + government/notarial fees
We will issue the monthly invoice including any government/notarial fees paid within processes in a month, if any. We will get formal authorization to start any process that require government/notarial fees that need to be covered by the client.
